Descartes Systems Group, a global provider of logistics solutions with offices throughout the Nordic region, has acquired Sellercloud, a provider of e-commerce solutions.
SellerCloud's solutions are used by small and medium-sized retailers, distributors, wholesalers, and manufacturers with multi-channel e-commerce operations. The company’s inventory and order management solutions (IMS/OMS) help customers synchronize, plan, and manage inventory levels across multiple sales channels.
“Our integrated e-commerce solutions are designed to help product companies through every stage of their growth, whether they’re a startup or a global enterprise,” says Mikel Richardson, General Manager of E-commerce at Descartes, adding:
– Sellercloud expands our product suite with advanced inventory and order management features that our customers have been asking for. Combined with Descartes’ existing solutions for e-commerce shipping and warehouse management, we believe the result is a truly differentiated offering for managing the entire e-commerce lifecycle, both domestically and internationally.
“We continue to listen to our customers regarding key areas of investment in our global logistics network,” says Edward J. Ryan, CEO of Descartes, adding:
– Sellercloud complements our e-commerce investments in XPS, ShipRush, pixi, and Peoplevox, and we are pleased to welcome Sellercloud’s employees, customers, and partners to Descartes.
Sellercloud is headquartered in New Jersey. Descartes acquired Sellercloud for an initial purchase price of approximately 110 million USD, to be funded from existing cash on hand, plus an additional potential performance-based purchase price. The maximum amount payable under the performance-based additional purchase price is USD 20 million, contingent upon the combined business achieving revenue-based targets in each of the first two years following the acquisition. Any additional purchase price is expected to be paid during the fiscal years 2026 and 2027.
